Terms of Service Restor App
BACKGROUND
The loss of global biodiversity is among the greatest challenges facing humanity, underpinning climate change, food security and global pandemics. At this moment, there are already millions of local land stewards across the globe, including farmers, local communities and indigenous populations who are striving to protect biodiversity. Each of these initiatives is working to protect local nature in order to secure the livelihoods and wellbeing of local people by providing food, timber, medicines, recreation and ecotourism. But they are doing so in isolation. Without any visibility or connectivity, many are struggling to survive in markets that don’t value the biodiversity they support.
Over the last 4 years, Restor Eco AG, a non-profit spin-off from ETH Zurich, has been tackling this global crisis by discovering local land stewards, and providing them with the data and visibility the need to grow. With the launch of the prototype Restor App in 2024, Restor aims to connect a pilot group of ecopreneurial organisations which produce regenerative products and services from nature (“Producers”).
With this App, we can all contribute to the regenerative use of the land we all depend on. By sharing the unique stories of each Producer, we aim to inspire more transparent purchases that enhance sustainable incomes and foster a deeper connection between consumers and the regenerative businesses they support.
1. GENERAL TERMS OF SERVICE
This mobile application/Website (hereinafter the “Restor App”, or the “App”) is operated by Restor Eco AG (“the Company”), a Swiss non-profit organisation, 100% owned by the Restor Foundation, a charitable foundation with the purpose to restore, preserve and maintain global ecosystems and their biodiversity. Throughout the Website, the terms “we”, “us” and “our” refer to Restor Eco AG. We offer this App, including all information, tools and services available from this App ("the Service") to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By using the Restor App you agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the App, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.
Please read these Terms of Service carefully before accessing or using our App. By accessing or using any part of the App, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the App or use any services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.
Any new features or tools which are added to the App shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our App. It is your responsibility to check this page periodically for changes. Your continued use of or access to the App following the posting of any changes constitutes acceptance of those changes.

The services we offer through our App allow you to search for and purchase products from third party retailers (the “Producers”), that are listed on our Website (the “Services”).
The contract for the purchase of the products will always be between you and the relevant Producer. We are acting as agents on behalf of the Producers, who are the principals, and you are not purchasing the products directly from us. This means that it is the Producer (and not us) who is legally responsible for selling any products to you.
We are authorised by the relevant Producers to provide initial customer service assistance, process and receive payments, but we are not a party to your contract with the relevant Producer.
When purchasing goods from a Producer, your contract with the Producer will incorporate the e-mail confirmation of your order, the applicable details on the product page in relation to the order and these Terms, and you agree to be bound by all such provisions. You should carefully review the e-mail confirmation of your order, the applicable details on the product page in relation to the order and these Terms to ensure that you are familiar with the terms of your contract with the Producer.
If there is any conflict or inconsistency between these Terms and the email confirmation of your order or the applicable details on the product page, these Terms shall prevail to the extent of the conflict or inconsistency.
Only individuals or legal entities possessing full legal capacity are permitted to purchase products through the app. Minors are excluded.
4. ONLINE STORE TERMS
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this App.
You may not use products for any illegal or unauthorised purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
You must not transmit any worms or viruses or any code of a destructive nature. A breach or violation of any of the Terms will result in an immediate termination of your Services.
5. THE APP
While we try to make sure that the App is available for your use, we do not guarantee that the App will be available at all times nor do we guarantee the uninterrupted use by you of the App.
We reserve the right to withdraw or amend the Services through the App without notice. We will not be liable if for any reason any of the Services are unavailable at any time or for any period.
Whilst we try to make sure that the App is accurate, up-to-date and free from bugs, we cannot guarantee that it will be at all times.
6. ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION
The products displayed through our App are presented with every effort to be as accurate as possible. As the descriptions and images are based on information provided to us by the Producers (who remain responsible for them), we cannot guarantee that all details are at all times accurate, complete or error free. Additionally some variations may occur between each item and between the items received and any photos on our Website. We hope you understand that this adds to the character and uniqueness of the products.

We are not responsible if information made available on this App is not accurate, complete or current. The material on this App is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this App is at your own risk.
This App may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this App at any time, but we have no obligation to update any information on our App. You agree that it is your responsibility to monitor changes to our App.
7. INTELLECTUAL PROPERTY RIGHTS
We are the owner or the licensee of all intellectual property rights in the App and its content (such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations and software including the presentation and compilation of the same) (Content). The rights in the App and the Content are protected by international copyright laws as well as by any relevant national law concerning copyright, authors' rights and database right laws. All such rights are reserved. You must not systematically extract and/or re-utilise parts of the App or the Content. In particular, you must not use any data mining, robots, or similar data gathering and extraction tools to extract (whether once or many times) for re-utilisation any substantial parts of the App. You must not create and/or publish your own database that features substantial parts of the App (e.g. our prices and product listings) without our prior written consent.
All copyright, trademarks, domain names, design rights, database rights, patents and other intellectual property rights of any kind whether or not they are registered or unregistered (anywhere in the world) in and on the App including all content and applications located on the App are owned by, or licensed to, us.
You must not extract or otherwise use any of the content on the App and/or Services for commercial purposes without obtaining a licence to do so from us or our licensors.
If you are aware that any of your intellectual property rights have been infringed on the Website, please contact us by e-mailing app@restor.eco to report the concern.

To place an order on the App, you must navigate to the dedicated page for the product you are interested in. From there, you will proceed to the in App web based payment page, where you can select the desired quantity and enter your delivery, billing, and payment details. There is the option to save your data. Please see Privacy Policy for our retention of data terms.
Once you place an order you will receive a payment confirmation email from us detailing the product(s) that you have requested to purchase. This is not an acceptance of your order, nor is this a confirmation of any contract between you and the Producer.
Following the placement of your order, the corresponding payment will be collected and held by Restor Eco AG. If the Producer is unable to confirm and process the order, Restor Eco AG will promptly refund the full payment amount to you.
As soon as the Producer accepts the order, you will receive an acceptance e-mail confirming your order (the “Order Confirmation” and or the “shipping confirmation”). The Producer will endeavour to send you an Order Confirmation within three working days of you placing your order. The contract between you and the Producer is only concluded after issuance of the order confirmation.
The Order Confirmation will contain details of the products that have been ordered; the personal data that was provided by you for the order (such as your billing details and the name, address and contact details of the delivery recipient) and the estimated date of delivery which we endeavour to ensure conforms to the estimated date of delivery for the product(s) on the App (where indicated).
13. SHIPPING & DELIVERY INFORMATION
We are an intermediary – a marketplace offering a platform to purchase our Producers’ goods, therefore shipping costs will vary depending on the products of your chosen item(s).
All shipping costs are determined by the Producers for their products and these are displayed clearly to you on the relevant product page of our App before completing your purchase.
Please note that an international order might have to go through customs processing which may cause delays in delivery that are outside of our control. Whilst we will use reasonable endeavours to work with Prodcuers to ensure that delays are kept to a minimum, neither Restor Eco AG nor the Producers will be responsible for delays caused by customs controls.
Additionally, customs may charge duty on products imported into your country. The Producers are aware of this and will endeavour to pre-pay any customs charges on delivery. The purchase price for each product on our Website includes any local taxes and customs that the Producers believe will be charged on import. Therefore, there should be no further charges for you to pay to accept delivery of your order. However, please note that neither Restor Eco AG nor the Producers will be responsible for any additional customs charges that your country may impose on the import of your products. This shall be the sole responsibility of the Customer.
We are not responsible for how the product(s) are packaged and presented on delivery, this is the responsibility of the Producer.

Collection and retention of personal information data is solely for the purposes of completing your order and enhancing your shopping experience. You may link to pages on the App, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. Restor expressly reserves the right to revoke the right granted in this clause for breach of these Terms and to take any action it deems appropriate.
Our App must not be framed on any other App. We reserve the right to withdraw linking permission at any time.
The App may provide links to other Websites for your information. If you use these links, you leave the App. We have not reviewed these third party Websites and we have no control over such Websites or resources. We therefore do not endorse or make any representations about them, or any material found there, or any results that may be obtained from using them. If you decide to access any of the third party websites linked to the Website, you do so entirely at your own risk. We accept no responsibility for third party websites or for any loss or damage that may arise from your use of them.

If we are prevented from performing the Services, or a Producer is prevented from or delayed in carrying out its obligations under a contract with you, as a result of circumstances beyond our or the Producer’s reasonable control including, without limitation, natural disasters, governmental actions, war or national emergency, riot, civil commotion, tire, explosion, flood, inclement weather, epidemic, lock-outs, strikes or other labour disputes (whether or not relating to the Producer’s workforce), or restraints or delays affecting carriers or an inability or delay in obtaining supplies of adequate or suitable materials, then performance of our obligations or the Producer’s obligations (as the case may be) shall be postponed tor the period of time that such circumstances continue.
We will endeavour to keep you fully up to date with such circumstances and informed of any issues with the performance of ours or the Producer’s obligations.
In respect of a sale of a product, if it looks like the Producer will not be able to resume performing the obligations within a reasonable amount ot time, the Producer shall have the right to cancel the order and, to the extent that any money has already been taken, procure that you are provided with a full retund tor the part of the order which cannot be fultilled.
23. LAW & JURIDICTION

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by us on this App or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

To the extent you have any comments about the App, our Services, a Producer or a particular contract you have with a Producer, please contact us by app@restor.eco
Complaints about a specific Producer, goods or services must first be notified to Restor at the email app@restor.eco or as directed by Restor directly with the Producer concerned for resolution directly with them.
